
Waterfall Hill Consulting Ltd: Corporate Terms of Engagement

These Corporate Terms of Engagement apply to organisations engaging Waterfall Hill Consulting Ltd to deliver one or more of a range of services, including keynote speaking, workshops, consultancy, coaching and/or licences for online courses.
They are designed to provide clarity for both parties and support a positive, professional working relationship from the outset.
By accepting a proposal, quotation or booking confirmation, the client confirms acceptance of these Terms of Engagement.
Where a proposal contains specific commercial terms, those terms shall take precedence over this document to the extent of any discrepancy.
1) Definitions
For the purposes of these Terms of Engagement:
Client means the organisation purchasing services from Waterfall Hill Consulting Ltd.
Participant means any employee, delegate or individual attending a workshop, coaching programme, keynote or online course.
Services means any service delivered by Waterfall Hill, including keynote speaking, workshops, consultancy, coaching, leadership programmes, online courses and associated resources.
Online Course means the How to Lead: Digital Academy, or any online masterclasses.
Associate Coach means any coach or specialist engaged by Waterfall Hill Consulting Ltd to support delivery.
2) Scope of Services
These Terms apply to all corporate services provided by Waterfall Hill Consulting Ltd, including but not limited to:
Keynote speaking
Leadership workshops
Group coaching programmes (Leadership Accelerator)
One-to-one executive coaching
Team coaching
Consultancy
Online course licences, e.g. Digital Academy or Masterclasses
Leadership resources and supporting materials
The scope of each engagement, together with agreed deliverables, dates and fees, will be set out within the proposal or Statement of Work.
3) Booking & Payment
4) Corporate Online Courses Licences
Where an organisation purchases online courses licences, the following applies:
Each licence is issued to one named individual.
Licences are personal and non-transferable.
Licences may not be shared between employees.
Once a licence has been activated, it cannot be reassigned to another participant.
Each licence provides six months' access from the date of onboarding unless otherwise agreed in writing.
The Client is responsible for supplying accurate participant details to enable account creation and onboarding.
Where participant information is delayed, Waterfall Hill Consulting Ltd cannot guarantee the original implementation timescales.
Additional licences may be purchased at any point during the engagement.
Online course licences are non-refundable once access has been issued.
5) Workshops, Keynotes & Programme Delivery
Waterfall Hill Consulting Ltd will deliver the agreed services as outlined within the proposal.
The Client agrees to provide:
A suitable venue or online platform;
Appropriate audio-visual equipment; a radio microphone is preferred.
Internet access where applicable;
Appropriate room layout;
Agreed start and finish times;
Attendee information before delivery.
Where delivery is online, the Client is responsible for ensuring participants have suitable technology and internet access.
If attendee numbers increase significantly beyond those agreed within the proposal, Waterfall Hill reserves the right to review the fee or recommend an alternative delivery format where appropriate.
Where practical, Waterfall Hill Consulting Ltd requests access to the venue at least 30 minutes prior to the agreed start time.
6) Workshop Resources
Participants may receive supporting resources following workshops, keynote presentations or programmes.
These may include:
One-page refresher guides;
Workbooks;
Templates;
Leadership frameworks;
Reflection exercises;
Practical implementation tools.
These resources are provided to support participants in applying their learning within the organisation.
All materials remain the intellectual property of Waterfall Hill Consulting Ltd and may not be shared without express permission or payment of an agreed fee.
7) Recording, Photography & Artificial Intelligence
To protect participant confidentiality and Waterfall Hill Consulting Ltd's intellectual property:
Workshops, keynote presentations, coaching sessions and leadership programmes may not be:
Recorded;
Live-streamed;
Transcribed;
Photographed for commercial use;
Captured using AI note-taking or transcription software,
without prior written agreement from Waterfall Hill Consulting Ltd.
Where recording has been agreed, permission applies only to the specific event and purpose agreed in writing.
Unauthorised recording or distribution of any session may result in access being withdrawn and may constitute an infringement of Waterfall Hill Consulting Ltd's intellectual property rights.
8) Intellectual Property
All presentations, workshop content, coaching materials, online course content, workbooks, guides, videos, templates, frameworks, models, methodologies and supporting resources supplied by Waterfall Hill Consulting Ltd remain the intellectual property of Waterfall Hill Consulting Ltd unless otherwise agreed in writing.
The Client and Participants are encouraged to use the learning, ideas and frameworks within their day-to-day leadership practice and organisation.
However, without prior written permission from Waterfall Hill Consulting Ltd, the Client may not:
Reproduce or copy materials in whole or in part;
Adapt or amend materials;
Incorporate Waterfall Hill content into internal or external training programmes;
Create derivative leadership programmes or resources based on Waterfall Hill materials;
Distribute materials outside the purchasing organisation;
Sell, licence or commercially exploit any Waterfall Hill content.
These restrictions apply whether materials are shared in printed, digital, video or audio format.
9) Confidentiality
Leadership development often involves discussion of organisational challenges, commercial information and personal experiences.
Waterfall Hill Consulting Ltd treats information shared by the Client and Participants with the strictest confidentiality and in accordance with the International Coaching Federation Code of Ethics.The only instance where confidentiality may be broken is when a Client or Participant is at risk or a danger to others - in which case Waterfall Hill Consulting Ltd will raise the issue and inform the Client or Participant of the need to break their confidence.
Likewise, the Client agrees that any confidential information relating to Waterfall Hill Consulting Ltd’s business, methodologies or commercial information will remain confidential.
Where programmes involve group discussion, Participants are encouraged to respect the confidentiality of conversations shared by others.
This creates the psychological safety needed for honest discussion and meaningful learning.
Nothing within this clause prevents disclosure where required by law.
10) Participant Responsibilities
Leadership development is most effective when participants actively engage with the learning process.
Participants are encouraged to:
Attend sessions in a timely manner wherever possible;
Only rebook one-to-one or team coaching sessions where strictly necessary and with at least 48 hours’ notice;
Complete any agreed preparation or reflection activities;
Contribute respectfully during discussions;
Maintain confidentiality within group programmes;
Take responsibility for applying their learning within their own role.
Waterfall Hill Consulting Ltd provides practical tools, frameworks and guidance; however, implementation remains the responsibility of each participant.
11) Client Responsibilities
To support a successful engagement, the Client agrees to:
Provide information reasonably requested in advance;
Nominate a suitable point of contact;
Communicate relevant organisational information that may affect delivery;
Encourage participants to attend and engage fully;
Notify Waterfall Hill Consulting Ltd of any accessibility requirements or reasonable adjustments where possible before delivery;
Provide timely feedback where requested.
Where online courses or group coaching programmes (which include online course access) form part of the engagement, the Client is responsible for providing accurate participant details in sufficient time for licences to be issued.
12) Programme Changes & Rescheduling
Waterfall Hill Consulting Ltd understands that organisational priorities can change.
Should either party need to reschedule an agreed date, reasonable notice (a minimum of 48 hours) should be given wherever possible.
Where practical, Waterfall Hill Consulting Ltd will always seek to agree on an alternative mutually convenient date.
Where Waterfall Hill Consulting Ltd is unable to deliver due to illness or circumstances outside its reasonable control, an alternative date and/or alternative coach will be offered as soon as reasonably practicable.
Minor changes to programme content may occasionally be made to ensure the learning remains current, relevant and valuable.
Such changes will never materially reduce the value of the agreed services.
13) Cancellation
Keynote Speaking & Workshops
If the Client needs to cancel a confirmed booking:
More than 60 days before delivery: Any fees paid will be refunded, less any reasonable non-recoverable costs already incurred on behalf of the Client (for example venue costs, travel bookings or specialist materials).
30–60 days before delivery: 50% of the agreed fee remains payable.
Less than 30 days before delivery: The full agreed fee remains payable.
Where possible, Waterfall Hill Consulting Ltd will always work with the Client to rearrange an alternative delivery date rather than treat the booking as cancelled.
Leadership Programmes & Coaching
Where a multi-session coaching or leadership programme has commenced, fees are non-refundable.
If individual participants are unable to attend a particular session, this does not entitle the Client to a refund or replacement session unless otherwise agreed.
Online Courses, e.g. The How to Lead: Digital Academy
Licences are non-refundable once access has been issued.
Unused licences do not carry forward beyond the agreed access period.
14) Travel & Expenses
Where travel, accommodation or other reasonable expenses are required, these will be agreed in advance and detailed within the proposal wherever possible.
Reasonable expenses incurred in connection with the engagement may be invoiced following delivery where they have not already been included within the agreed fee.
Waterfall Hill Consulting Ltd will always seek to minimise travel costs where practical.
15) Limitation of Liability
Waterfall Hill Consulting Ltd provides leadership development, coaching and learning designed to support individuals and organisations in developing their leadership capability.
Whilst every effort is made to provide practical, relevant and high-quality guidance, Waterfall Hill Consulting Ltd cannot guarantee specific organisational, commercial or personal outcomes. The implementation of ideas, frameworks and recommendations remains the responsibility of the Client and individual Participants.
To the fullest extent permitted by law, Waterfall Hill Consulting Ltd's total liability arising from any engagement shall not exceed the total fees paid by the Client for the specific services giving rise to the claim.
Nothing within these Terms excludes or limits liability where such liability cannot legally be excluded.
Waterfall Hill Consulting Ltd maintains appropriate Professional Indemnity and Public Liability insurance in connection with the services it provides.
Where services are delivered by an Associate Coach, Waterfall Hill Consulting Ltd requires each Associate Coach to maintain their own appropriate Professional Indemnity insurance for the services they provide.
16) Associate Coaches & Delivery Partners
From time to time, Waterfall Hill Consulting Ltd may work alongside trusted Associate Coaches, facilitators or specialist partners to deliver elements of an engagement.
Where Associate Coaches are involved, Waterfall Hill Consulting Ltd remains responsible for the overall design, quality and delivery of the programme.
All Associate Coaches engaged by Waterfall Hill Consulting Ltd are carefully selected to ensure they align with the organisation's values, standards and approach to leadership development.
17) Non-Solicitation
Waterfall Hill Consulting Ltd invests significantly in developing relationships with its Associate Coaches, facilitators and delivery partners.
The Client agrees that they will not directly engage, employ or contract any Waterfall Hill Consulting Ltd employee, Associate Coach, facilitator or contractor introduced through the engagement for a period of twelve (12) months following completion of the services without the prior written agreement of Waterfall Hill Consulting Ltd.
This clause does not prevent individuals from applying for publicly advertised vacancies.
18) Publicity
Unless otherwise agreed in writing, Waterfall Hill Consulting Ltd may identify the Client organisation as one it has worked with within proposals, presentations, marketing materials, social media or on its website.
No confidential information, commercially sensitive information or programme content will ever be disclosed without permission.
19) Testimonials & Case Studies
Feedback is an important part of continuously improving our services.
Following an engagement, Waterfall Hill Consulting Ltd may invite the Client or Participants to provide feedback, testimonials or participate in a case study.
Testimonials, quotations or case studies will only be published with the Client's prior permission.
20) Accessibility & Inclusion
Waterfall Hill Consulting Ltd is committed to creating inclusive, supportive and accessible learning experiences.
The Client is encouraged to notify Waterfall Hill in advance of any accessibility requirements, learning needs or reasonable adjustments so these can be accommodated wherever reasonably possible.
We recognise that every participant brings different experiences, perspectives and ways of learning, and we aim to create an environment where everyone feels able to contribute.
21) Data Protection
Both parties agree to comply with all applicable UK data protection legislation.
Any personal information processed as part of the engagement will be handled in accordance with Waterfall Hill Consulting Ltd's Privacy Policy.
Where Participant information is shared for the purposes of programme administration, Digital Academy access or communication relating to the agreed services, it will only be used for those purposes.
22) Force Majeure
Neither Waterfall Hill Consulting Ltd nor the Client shall be liable for any delay or failure to perform their obligations if caused by circumstances beyond their reasonable control.
This includes, but is not limited to:
Severe weather;
Transport disruption;
Illness;
Venue closure;
Industrial action;
Failure of utilities or technology;
Government restrictions; or
Other unforeseen events.
Where such circumstances arise, both parties will work together in good faith to agree an alternative delivery date wherever reasonably possible.
23) Governing Law
These Terms of Engagement shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
24) Working Together
At Waterfall Hill Consulting Ltd, we believe the best leadership development happens when expectations are clear, and relationships are built on trust.
These Terms of Engagement are designed to support a positive, professional and collaborative partnership from the outset, allowing everyone involved to focus on what matters most: developing confident, intentional leaders who create lasting impact.
